Italian Bevande Srls – Terms and Conditions of Sale

(Revised as of 21 September 2015)


  • These Terms and Conditions govern all sales by Italian Bevande Srls (hereinafter referred to as the “Company”) to its customers (hereinafter referred to as the “Customer”). They shall prevail over any conflicting terms proposed by the Customer, unless explicitly agreed in writing by a Director of the Company and duly noted on the relevant invoice and/or delivery note.
  • These Terms and Conditions are printed on the reverse of all invoices and delivery notes and may also be requested by contacting the Company’s sales team. By accepting delivery of goods, the Customer confirms acceptance of these Terms and Conditions.
  • The Company reserves the right to amend these Terms and Conditions by providing a minimum of seven (7) days’ written notice to all Customers before accepting further orders or dispatching goods. Notice shall be deemed effective upon dispatch via first-class mail to the Customer’s last known trading address. New customers will receive the current Terms and Conditions before any transaction.


1. Definitions


  • Company: Refers to Italian Bevande Srls, including its trading, Beers are Us, and Italian Bevande Srl (Wines & Beers, Spirits), a private limited company registered in the Republic of Italy (Company Registration No. 120178).


  •  Customer: The individual or legal entity purchasing goods from the Company.
  •  Onward Customer: A third-party customer introduced by the Company to the Customer, for which commission is payable.


2. Goods


  • “Goods” include all products and packaging provided in any delivery, including those sold under “Under Bond” conditions. Such goods are treated separately from any associated Taxes or Duties.


3. Delivery and Risk


  •  Delivery is completed upon placement of goods at the agreed location or bonded warehouse for the Duty Suspended Account of the Customer.
  • Once delivered, all responsibility for duties, taxes, storage, and risk lies with the Customer.
  • Goods must be stored safely and identified as Company property until full payment is received and the title transfers.
  • For “Under Bond” sales, the Customer and/or the bonded warehouse bear full responsibility for payment of duties in all relevant jurisdictions. They shall indemnify the Company against any liability for unpaid duties or taxes.


4. Delivery Schedule


  • Deliveries are made by the Company or its authorized agents. The Company is not liable for any delay or failure to deliver goods by a specified time or date.


5. Damages and Shortages


  •  All shortages or damages must be noted on the delivery note at the time of delivery and countersigned by the driver.
  •  Claims submitted after delivery will be considered at the Company’s sole discretion.


6. Payment Terms


  • Payment must be made in cleared funds before delivery, unless otherwise agreed in writing by a Company Director.
  • Late payments will incur interest at 5% above the Republic of Italy’s base rate, charged monthly from 10 days after the due date.


7. Payments


  • Third-party cheques are not accepted.
  • Cash payments must be accompanied by a receipt. The Company reserves the right to perform due diligence and may refuse cash transactions until satisfactory verification is completed.


8. Returns


  • Goods are not sold on a “sale or return” basis. Returns are only accepted at the Company’s sole discretion.
  • The Customer assumes all risk and transportation costs for returned goods.


9. Title and Ownership


  • Title to the goods remains with the Company until full payment is received.
  • The Company reserves the right to inspect or reclaim goods if the Customer appears to be or becomes unable to meet contractual obligations.
  • This applies even where goods are stored under bond in a warehouse.


10. Lien


  • The Company reserves the right to exercise a lien over any property owned by the Customer if outstanding liabilities exceed the value of the goods.


11. Onward Customers


  • Goods must not be released to any Onward Customer until full cleared funds are received.
  • The Customer is solely responsible for verifying the Onward Customer’s legitimacy and legal compliance.


12. Commission


  • Commission for introductions to Onward Customers is payable within seven (7) days of payment receipt.
  • Any future sales to the same Onward Customer shall attract commission at the same or mutually agreed rate in writing.


13. Duty Paid Sales


  • Where goods are sold as “Republic of Italy duty paid,” this will be clearly stated on the invoice. The VAT charge will be itemized separately, and the Company ensures full VAT compliance with Italian tax authorities.


14. Tax Records


  • The Company retains complete documentation of all duties paid and will make such records available to the relevant authorities upon request.


15. Supplier Verification


  • For goods purchased “Republic of Italy duty paid,” the Company obtains appropriate supplier invoices.
  • The Company is not liable for unpaid taxes by third-party suppliers, but will provide such invoices to the authorities.
  • Customers agree to indemnify the Company against any tax or duty claims unless directly caused by the Company’s negligence.


16. Termination


  • The Company may terminate any contract at its discretion, suspend deliveries, stop goods in transit, and invoke lien or repossession rights as per clauses 8 and 10.


Jurisdiction


  • These Terms and Conditions are governed by and construed under the laws of the Republic of Italy. The courts of the Republic of Italy shall have exclusive jurisdiction, without prejudice to the enforcement of any judgment in another jurisdiction.
